Referral programme terms and conditions
1. About the programme
​
The "Make an Introduction. Make a difference." referral programme is operated by Sojourn Solutions, of 608 E. Hickory Street Suite 128, Denton, TX 76205 (“Sojourn”, “we”, “us” or “our”).
​
Under the programme, eligible individuals may introduce Sojourn to an organisation that could benefit from our services. Where an eligible introduction results in a qualifying new client engagement, Sojourn will donate €500, or the equivalent amount in another currency where appropriate, to an eligible charity selected by the referrer.
​
These terms explain how the programme works and the conditions that apply.
​
2. Programme period
​
The programme begins on 15th July 2026 and will continue until withdrawn or replaced by Sojourn.
​
We may amend, suspend or close the programme at any time. Any qualifying referral already accepted by us before the programme is changed or closed will continue to be considered under the terms that applied when it was accepted.
3. Who may participate
​
The programme is open to:
- Current clients of Sojourn;
- Former clients of Sojourn;
- Current and former client employees;
- Sojourn partners and professional contacts; and
- Any other individual whom Sojourn has expressly invited to participate.
​
Employees, directors and contractors of Sojourn may not act as referrers under this programme unless Sojourn has expressly confirmed otherwise in writing.
​
Participants must be at least 18 years old.
​
A participant must not make a referral where doing so would breach:
- Their employer’s policies;
- A contract or confidentiality obligation;
- Procurement or tender rules;
- A professional or regulatory obligation;
- Applicable anti-bribery or anti-corruption laws; or
- Any other applicable law or regulation.
​
Employees of government bodies, publicly owned organisations, regulated entities or organisations with strict gifts and hospitality policies should obtain any necessary internal approval before participating.
​4. What counts as an eligible referral
​
An eligible referral must:
1. Be a genuine, personal introduction between Sojourn and an appropriate representative of the introduced organisation;
2. Be made with the knowledge and permission of the person being introduced;
3. Involve an organisation that is not already an active Sojourn client;
4. Involve an organisation with which Sojourn is not already engaged in an active sales conversation or recorded opportunity;
5. Relate to a genuine potential requirement for services offered by Sojourn;
6. Include sufficient information for Sojourn to identify and assess the introduction; and
7. Be acknowledged and accepted by Sojourn as an eligible referral.

The preferred form of referral is an introductory email or message involving both Sojourn and the person being introduced.
​
Referrers should not provide personal contact information without the individual’s knowledge or permission.
​
An introduction does not automatically become an eligible referral. Sojourn will determine whether the referral meets these conditions and will confirm its decision where reasonably practical.
​
5. Referrals that do not qualify
​
A referral will not qualify where:
- The introduced organisation is already a Sojourn client;
- The organisation has been a Sojourn client within the previous **[12] months**, unless Sojourn agrees otherwise;
- Sojourn is already in an active sales conversation with the organisation;
- The organisation or opportunity is already recorded in Sojourn’s CRM or sales pipeline;
- The introduction relates to an open tender, formal procurement exercise or competitive process in which referral incentives are prohibited or inappropriate;
- The referrer has not obtained permission to make the introduction;
- The referral is speculative, mass-distributed or generated through unsolicited marketing;
- The referrer requests cash, credit, services or another personal benefit instead of the charity donation;
- Participation would create an actual or perceived conflict of interest;
- The referral breaches the referrer’s employer policies or legal obligations;
- The referrer is involved in selecting, appointing or approving Sojourn and is not permitted to participate in an incentive programme;
- The introduced organisation is connected with unlawful, fraudulent or sanctioned activity; or
- Sojourn reasonably considers that accepting the referral or making the donation could create a legal, ethical, regulatory or reputational risk.

6. Duplicate referrals
​
Only one donation will be made for each new client organisation.
​
Where more than one person refers the same organisation, the referral first received and accepted by Sojourn will normally take priority.
​
Sojourn may consider the nature and timing of each introduction when determining which referral qualifies. Our decision on duplicate or competing referrals will be final.
​
Referrers may not divide, transfer or share the donation entitlement unless Sojourn agrees otherwise.
​
7. When a referral becomes successful
​
A referral becomes a “successful referral” only when all of the following have happened:
1. Sojourn has accepted the referral as eligible;
2. The introduction has resulted in a genuine sales opportunity;
3. The introduced organisation has entered into a binding agreement with Sojourn for paid services;
4. The engagement is with a genuinely new client organisation rather than another business unit, subsidiary or affiliate of an existing client, unless Sojourn agrees otherwise; and
5. Sojourn has received full payment of the first undisputed invoice issued under the new client agreement.
No donation becomes due merely because:
- An introduction has been made;
- A meeting has taken place;
- An opportunity has been created;
- A proposal has been submitted;
- Sojourn has been appointed as a preferred supplier; or
- A contract has been signed but the first invoice remains unpaid.
Only one €500 donation will be made for each successful new client, regardless of the number, size or duration of projects subsequently purchased.

8. Choosing a charity
​
After a referral becomes successful, Sojourn will ask the referrer to nominate a charity.
​
The nominated organisation must:
- Be a legally established and appropriately registered charity or eligible nonprofit organisation;
- Be able to accept the donation through a verifiable payment method;
- Operate lawfully in its country of registration;
- Not be subject to applicable financial sanctions;
- Not promote hatred, discrimination, violence, terrorism or unlawful activity; and
- Be acceptable under Sojourn’s ethical, legal and corporate policies.
Sojourn may carry out proportionate checks before approving a nominated charity.

We reserve the right to decline a nominated organisation where making the donation could create legal, financial, regulatory, political or reputational concerns. Where reasonably possible, the referrer will be invited to choose an alternative eligible charity.
​
Religious, political or campaigning organisations may be declined where the proposed donation could reasonably be interpreted as Sojourn endorsing a particular political position, candidate, belief or campaign.
​
9. Making the donation
​
The donation will normally be made within 60 days after:
- The referral has become successful;
- Sojourn has received the required charity information; and
- The nominated charity has passed any necessary eligibility checks.
​
The donation will be made directly by Sojourn to the approved charity. It will not be paid to the referrer or introduced organisation.
​
Where the charity cannot accept USD, Sojourn may donate the equivalent of $500 in the charity’s local currency. The exchange rate used will be determined by Sojourn or its payment provider on or around the date of payment.
​
Bank charges, processing charges or currency conversion costs may be deducted by the payment provider and are outside Sojourn’s control.
​
If the chosen charity does not accept the donation, cannot be verified or does not respond within a reasonable period, the referrer may be asked to nominate another charity.
​
If the referrer does not nominate an eligible charity within 90 days of being asked, Sojourn may select an eligible charity on their behalf.
​
10. No cash alternative
​
The charitable donation is the only benefit offered under the programme.
​
There is:
- No cash alternative;
- No personal payment to the referrer;
- No account credit;
- No discount against Sojourn services;
- No gift card or equivalent benefit; and
- No right to transfer the donation to another person.
​
The donation is made by Sojourn in its own name and from its own funds. The referrer should not represent that they personally made the donation or claim any personal tax benefit arising from it.
​
11. Employer approval and conflicts of interest
​
The referrer is responsible for confirming that participation is permitted by their employer or organisation.
​
Where required, the referrer must disclose the programme and obtain approval from their employer’s legal, compliance, procurement, finance or management team.
​
The programme must not be used to influence an improper business decision or reward someone for improperly directing business to Sojourn.
​
Sojourn may contact a referrer to confirm:
- Their relationship with the introduced organisation;
- Whether they are involved in purchasing or supplier-selection decisions;
- Whether their employer has approved their participation; and
- Whether any conflict of interest exists.
​
Sojourn may reject or withdraw a referral where we reasonably suspect an undisclosed conflict, policy breach, improper inducement or compliance risk.
​
12. Public-sector and procurement referrals
​
Referrals involving public authorities, government departments, publicly funded bodies, state-owned organisations or public officials require additional review.
​
No donation will be made where the referral:
- Is connected with an active public procurement exercise;
- Could influence or appear to influence the award of public business;
- Is prohibited by the introduced organisation’s policies;
- Involves an individual who is legally prohibited from participating; or
- Creates an unacceptable anti-bribery or corruption risk.
Sojourn may require written confirmation of employer approval before accepting such a referral.
13. Referrer responsibilities
​
When making an introduction, the referrer must:
- Act honestly and in good faith;
- Accurately describe their relationship with Sojourn;
- Not make misleading claims about Sojourn’s services, experience or capabilities;
- Not promise pricing, outcomes, discounts or contractual terms on Sojourn’s behalf;
- Not present themselves as an employee, representative or agent of Sojourn;
- Not use unlawful, intrusive or unsolicited marketing methods;
- Respect confidentiality and data-protection obligations; and
- Make clear that Sojourn will decide whether and how to pursue the opportunity.
​
Participation in the programme does not create an employment, agency, partnership, joint venture or representative relationship between the referrer and Sojourn.
​
14. Personal information and privacy
​
Sojourn will process personal information connected with the programme for purposes including:
- Recording and assessing referrals;
- Contacting referrers and introduced contacts;
- Managing sales opportunities;
- Preventing duplicate or fraudulent claims;
- Completing and verifying charitable donations;
- Maintaining financial and compliance records; and
- Reporting on the programme’s overall impact.
​
Referrers should only share information that is reasonably necessary to make the introduction.
​
Where a referrer introduces an individual, they confirm that the individual knows their details are being shared with Sojourn and has agreed to the introduction.
​

An introduced contact may ask Sojourn not to contact them or may exercise any applicable data-protection rights by contacting hello@sojournsolutions.com.
​
15. Publicity and social sharing
​
Sojourn may publish aggregated information about the programme, such as:
- The total amount donated;
- The number of successful referrals;
- The number of charities supported; and
- The names of charities that have received donations.
​
Sojourn will not publicly identify a referrer, the introduced organisation or the connection between them without appropriate permission.
​
Where a referrer agrees, Sojourn may provide a thank-you message, donation confirmation or social graphic that they may choose to share.
​
Participation does not require the referrer to post publicly or promote Sojourn.
​
Charity names and logos will only be used where Sojourn has the right or permission to do so.
​
16. Fraud, abuse and inappropriate conduct
​
Sojourn may reject a referral, withhold a donation or remove a participant from the programme where we reasonably believe that:
- Information supplied is false, incomplete or misleading;
- A referral has been fabricated or artificially arranged;
- Multiple individuals have coordinated to claim the same referral;
- Personal information has been obtained or shared improperly;
- The programme is being used to circumvent procurement, compliance or employment rules;
- The referral is connected with fraud, bribery, corruption or unlawful activity;
- The participant has damaged or attempted to damage Sojourn, the introduced organisation or a charity; or
- The participant has otherwise abused the programme.

Where a donation has already been made based on materially false information, Sojourn may take reasonable steps to recover the amount or report the matter to an appropriate authority.
​
17. Withdrawal or cancellation of an opportunity
​
No donation will be made where:
- The introduced organisation does not proceed;
- The contract is cancelled before the first invoice is paid;
- The first payment is reversed, refunded or disputed;
- The contract was entered into on the basis of fraud or misrepresentation;
- Sojourn is legally prevented from delivering the engagement; or
- The client agreement is terminated before the qualifying payment is received.
Once a valid donation has been completed, Sojourn will not normally seek to reverse it merely because the client relationship later ends.

18. Tax
​
The donation is made directly by Sojourn to the selected charity.
​
Sojourn does not provide tax advice and makes no representation about the tax treatment of the programme for the referrer, introduced organisation or charity.
​
Each participant is responsible for obtaining independent tax advice where required.
​
19. Liability
​
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
​
To the fullest extent permitted by law, Sojourn will not be responsible for:
- A charity refusing or returning a donation;
- Delays caused by a charity, bank or payment provider;
- Exchange-rate movements or payment-processing charges;
- Any tax consequence for a participant or charity;
- Any loss arising from an employer prohibiting participation;
- Any loss of opportunity, anticipated benefit or goodwill; or
- Any indirect or consequential loss arising from participation in the programme.

Sojourn’s total liability relating to any referral will not exceed the value of the donation associated with that referral.
​
20. Decisions and disputes
​
Sojourn is responsible for administering the programme and deciding whether:
- A referral is eligible;
- An organisation is already known to or engaged with Sojourn;
- An opportunity qualifies;
- A referral has resulted in a successful new client;
- A charity is eligible; and
- A donation should be withheld for legal, ethical or compliance reasons.

We will act reasonably and in good faith. Our decision will be final, except where applicable law requires otherwise.
​

21. Changes to these terms
​
Sojourn may update these terms to reflect changes to the programme, law, regulation or our internal policies.
​
The current version will be published on this page and will show the date on which it was last updated.
Material changes will not normally affect referrals already accepted before the change unless applying the earlier terms would be unlawful or create a significant compliance risk.
​
22. Governing law and jurisdiction
​
These terms and any dispute or claim arising from them are governed by the laws of the USA.
​
Where courts will have exclusive jurisdiction, unless applicable consumer or mandatory local law provides otherwise.
